Terms of sale and supply for Nucleus Analytics Private Limited.
Placeholder — do not launch without replacing this. Terms of sale are a contract. They must be drafted or reviewed by Nucleus Analytics Private Limited's counsel against your actual commercial practice, your distribution agreement with AMETEK, and Indian law (including the Sale of Goods Act and the Consumer Protection Act).
SPECTRO's own terms and conditions cannot be reused here. They bind AMETEK's legal entities under German law and would be void — or worse, misleading — applied to a sale by an Indian company.
What these terms will need to cover
Left here as a checklist for whoever drafts them, not as legal text:
- Scope — which sales, services and quotations the terms apply to.
- Quotations, order acceptance, and how a contract is formed.
- Prices, taxes and duties, payment terms, and interest on late payment.
- Delivery, transfer of title and transfer of risk.
- Installation, commissioning and site-readiness obligations of the customer.
- Manufacturer's warranty, its duration, and what voids it.
- Service contracts, calibration intervals and response times.
- Limitation of liability, and exclusion of indirect and consequential loss.
- Regulatory obligations — including AERB registration for X-ray instruments.
- Spare parts availability and end-of-support commitments.
- Force majeure, termination, and dispute resolution.
- Governing law and jurisdiction.
